La Suisse limitant l&rsquo;acquisition de biens immobiliers par des personnes \u00e0 l&rsquo;\u00e9tranger, il convient d&rsquo;examiner et de pr\u00e9parer soigneusement une telle acquisition.<\/p>\n<p><strong style=\"font-size: 18px;\">1. <\/strong><strong>Quand l&rsquo;acquisition d&rsquo;un bien immobilier est-elle soumise \u00e0 autorisation ?<\/strong><\/p>\n<p>La \u00ab\u00a0Lex Koller\u00a0\u00bb, c&rsquo;est-\u00e0-dire la \u00ab\u00a0Loi f\u00e9d\u00e9rale sur l&rsquo;acquisition d&rsquo;immeubles par des personnes \u00e0 l&rsquo;\u00e9tranger\u00a0\u00bb, s&rsquo;applique dans toute la Suisse. Si les conditions suivantes sont remplies, l&rsquo;acquisition d&rsquo;un bien immobilier est soumise \u00e0 autorisation par les autorit\u00e9s cantonales :<\/p>\n<ul>\n<li>L&rsquo;acqu\u00e9reur est une \u00ab\u00a0personne \u00e0 l&rsquo;\u00e9tranger\u00a0\u00bb<\/li>\n<li>Le bien immobilier est soumis \u00e0 autorisation<\/li>\n<li>La transaction est une acquisition immobili\u00e8re<\/li>\n<\/ul>\n<p>Toutes les autres transactions immobili\u00e8res ne n\u00e9cessitent pas d&rsquo;autorisation et peuvent \u00eatre effectu\u00e9es sans les restrictions de la Lex Koller.<\/p>\n<p><strong style=\"font-size: 18px;\">2. <\/strong><strong>Suis-je consid\u00e9r\u00e9 comme une \u00ab\u00a0personne \u00e0 l&rsquo;\u00e9tranger\u00a0\u00bb ?<\/strong><\/p>\n<p>Sont consid\u00e9r\u00e9s comme \u00ab\u00a0personne \u00e0 l&rsquo;\u00e9tranger\u00a0\u00bb :<\/p>\n<ul>\n<li>Les ressortissants d&rsquo;Etats \u00e9trangers ayant leur domicile \u00e0 l&rsquo;\u00e9tranger<\/li>\n<li>Les ressortissants des \u00c9tats membres de l&rsquo;UE\/AELE domicili\u00e9s en Suisse sans autorisation de s\u00e9jour B, d&rsquo;\u00e9tablissement C ou de courte dur\u00e9e L<\/li>\n<li>Ressortissants d&rsquo;autres pays \u00e9trangers domicili\u00e9s en Suisse sans autorisation d&rsquo;\u00e9tablissement C<\/li>\n<\/ul>\n<p>Inversement, cela signifie que l&rsquo;acquisition d&rsquo;un bien immobilier en Suisse est ouverte sans restriction aux groupes de personnes suivants :<\/p>\n<ul>\n<li>Suisses\/doubles nationaux domicili\u00e9s en Suisse ou \u00e0 l&rsquo;\u00e9tranger<\/li>\n<li>Les ressortissants des \u00c9tats membres de l&rsquo;UE\/AELE ayant leur domicile l\u00e9gal et effectif en Suisse (permis de s\u00e9jour B, permis d&rsquo;\u00e9tablissement C ou permis de s\u00e9jour de courte dur\u00e9e L)<\/li>\n<li>Ressortissants d&rsquo;autres pays \u00e9trangers titulaires d&rsquo;une autorisation d&rsquo;\u00e9tablissement C et ayant leur domicile effectif en Suisse<\/li>\n<\/ul>\n<p><strong style=\"font-size: 18px;\">3. <\/strong><strong>Puis-je plut\u00f4t acqu\u00e9rir le bien immobilier via ma soci\u00e9t\u00e9 anonyme ?<\/strong><\/p>\n<p>Les personnes morales sont \u00e9galement soumises \u00e0 la Lex Koller et donc \u00e0 l&rsquo;obligation d&rsquo;obtenir une autorisation. Une personne morale ne peut acqu\u00e9rir un bien immobilier sans autorisation que si la soci\u00e9t\u00e9 a son si\u00e8ge en Suisse et qu&rsquo;elle est contr\u00f4l\u00e9e directement ou indirectement par des personnes physiques qui ne sont pas des personnes \u00e0 l&rsquo;\u00e9tranger.<\/p>\n<p><strong style=\"font-size: 18px;\">4. <\/strong><strong>Qu&rsquo;est-ce qu&rsquo;une \u00ab\u00a0acquisition immobili\u00e8re soumise \u00e0 autorisation\u00a0\u00bb ?<\/strong><\/p>\n<p>L&rsquo;acquisition de maisons individuelles ou d&rsquo;immeubles collectifs, d&rsquo;appartements en copropri\u00e9t\u00e9 et de terrains \u00e0 b\u00e2tir destin\u00e9s \u00e0 de telles constructions par des personnes \u00e0 l&rsquo;\u00e9tranger est soumise \u00e0 autorisation.<\/p>\n<p>Est consid\u00e9r\u00e9 comme acquisition non seulement le transfert du bien immobilier au registre foncier, mais aussi tout acte juridique qui conf\u00e8re \u00e0 une personne \u00e0 l&rsquo;\u00e9tranger le pouvoir de disposer effectivement d&rsquo;un bien immobilier soumis \u00e0 autorisation. Ainsi, un financement \u00e9tranger ou l&rsquo;acquisition d&rsquo;un usufruit peuvent \u00e9galement d\u00e9clencher l&rsquo;obligation d&rsquo;autorisation.<\/p>\n<p><strong style=\"font-size: 18px;\">5. <\/strong><strong>Existe-t-il des exceptions \u00e0 l&rsquo;obligation d&rsquo;autorisation ?<\/strong><\/p>\n<p>Il existe quelques exceptions et possibilit\u00e9s importantes pour acqu\u00e9rir un bien immobilier en Suisse en tant que personne \u00e0 l&rsquo;\u00e9tranger.<\/p>\n<p>a) R\u00e9sidence principale<br \/>L&rsquo;acquisition d&rsquo;une r\u00e9sidence principale est exempt\u00e9e de l&rsquo;obligation d&rsquo;autorisation, pour autant que cette r\u00e9sidence serve de domicile l\u00e9gal \u00e0 la personne \u00e0 l&rsquo;\u00e9tranger et qu&rsquo;elle soit effectivement habit\u00e9e. Cela d\u00e9pend \u00e9troitement de l&rsquo;octroi d&rsquo;une autorisation de s\u00e9jour ou d&rsquo;\u00e9tablissement.<\/p>\n<p>b) R\u00e9sidence secondaire<br \/>L&rsquo;acquisition d&rsquo;une r\u00e9sidence secondaire par un frontalier dans la r\u00e9gion de son lieu de travail est \u00e9galement exempt\u00e9e de l&rsquo;obligation d&rsquo;autorisation. <br \/>L&rsquo;acquisition d&rsquo;une r\u00e9sidence secondaire par des personnes \u00e0 l&rsquo;\u00e9tranger qui entretiennent des liens exceptionnellement \u00e9troits et dignes de protection avec le lieu de la r\u00e9sidence secondaire est soumise \u00e0 autorisation.<\/p>\n<p>c) Immeubles de vacances<br \/>Certains cantons autorisent l&rsquo;acquisition de biens immobiliers de vacances dans certaines communes situ\u00e9es dans des r\u00e9gions touristiques : Appenzell Rhodes-Ext\u00e9rieures, Berne, Fribourg, Glaris, Grisons, Jura, Lucerne, Neuch\u00e2tel, Nidwald et Obwald, Saint-Gall, Schaffhouse, Schwyz, Tessin, Uri, Vaud et Valais.<\/p>\n<p>d) Immeubles commerciaux et \u00e9tablissements industriels<br \/>L&rsquo;acquisition d&rsquo;un bien immobilier n&rsquo;est pas soumise \u00e0 autorisation si celui-ci sert d&rsquo;\u00e9tablissement stable \u00e0 une entreprise commerciale ou de fabrication, \u00e0 une autre entreprise g\u00e9r\u00e9e en la forme commerciale, \u00e0 une entreprise artisanale ou \u00e0 une profession lib\u00e9rale. Il s&rsquo;agit par exemple de b\u00e2timents de fabrication, d&rsquo;immeubles de bureaux, d&rsquo;h\u00f4tels, de restaurants, de cabinets m\u00e9dicaux, etc. Les appartements dans des immeubles commerciaux et des \u00e9tablissements ne peuvent \u00eatre acquis sans autorisation que dans des cas exceptionnels, par exemple lorsqu&rsquo;ils sont n\u00e9cessaires \u00e0 l&rsquo;entreprise.<\/p>\n<p>e) Soci\u00e9t\u00e9s immobili\u00e8res et fonds de placement suisses<br \/>Les placements indirects dans l&rsquo;immobilier, tels que l&rsquo;acquisition de parts de fonds de placement immobilier et la participation \u00e0 une soci\u00e9t\u00e9 immobili\u00e8re, ne sont pas soumis \u00e0 autorisation si les fonds sont n\u00e9goci\u00e9s publiquement ou si la soci\u00e9t\u00e9 est cot\u00e9e \u00e0 une bourse suisse.<\/p>\n<p><strong style=\"font-size: 18px;\">6. <\/strong><strong>Que se passe-t-il si je ne respecte pas l&rsquo;obligation d&rsquo;autorisation ?<\/strong><\/p>\n<p>Si vous ne pouvez pas exclure que l&rsquo;acquisition du bien immobilier est une transaction soumise \u00e0 autorisation, vous devez demander \u00e0 l&rsquo;autorit\u00e9 cantonale comp\u00e9tente une autorisation ou la constatation de l&rsquo;absence d&rsquo;obligation d&rsquo;autorisation. Si une transaction soumise \u00e0 autorisation n&rsquo;est pas autoris\u00e9e, l&rsquo;inscription au registre foncier ou l&rsquo;acquisition de la propri\u00e9t\u00e9 ne peut pas \u00eatre effectu\u00e9e.
